These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and services (collectively, the "Services") provided by Nourishing Inc. ("Company," "we," "us," or "our"), including services operated under the trade names Fizzify and Takeoff Agency. Our Services include, but are not limited to, the websites at getnourishing.com, aromi.ai, finanly.ai, organiko.ai, kayro.capula.co, and any associated mobile applications.

By accessing or using our Services, you ("you" or "User") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Eligibility

You must be at least 13 years of age (or 16 years of age in the European Economic Area) to use our Services. By using our Services, you represent and warrant that you meet this age requirement. If you are under 18 years of age, you must have your parent's or legal guardian's consent to use our Services.

2. User Accounts

Some of our Services may require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately at info@getnourishing.com if you suspect any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, not current, or incomplete, or if you violate these Terms.

3. Acceptable Use

You agree not to use our Services to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon or violate the intellectual property rights or privacy rights of any third party
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Upload or transmit viruses, malware, or any other malicious code
• Interfere with or disrupt the integrity or performance of our Services or servers
• Attempt to gain unauthorized access to our Services, user accounts, or computer systems
• Use automated means (bots, scrapers, spiders) to access or collect data from our Services without our express written consent
• Use our Services for any purpose that is fraudulent or otherwise harmful to others

4. Intellectual Property

4.1 Our Intellectual Property

All content, features, and functionality of our Services—including but not limited to text, graphics, logos (including the Nourishing, Fizzify, and Takeoff Agency logos), images, software, and the design, selection, and arrangement thereof—are owned by Nourishing Inc., its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 Your Content

You retain ownership of any content you submit, post, or upload to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content solely as necessary to operate and provide our Services.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to submit your User Content and to grant the license described above.

5. Third-Party Services and Integrations

Our Services may integrate with or contain links to third-party websites, services, or applications (such as messaging platforms, accounting software, or cloud services). These integrations are provided for your convenience and are governed by the respective third-party's terms and privacy policies. We are not responsible for the content, privacy practices, or availability of any third-party services.

6. Payments and Subscriptions

Certain Services may be offered on a subscription or paid basis. If you purchase a subscription or paid service:

• You agree to pay all fees associated with your selected plan
• Fees are billed in advance on a recurring basis (monthly or annually, as selected)
• Subscriptions automatically renew unless you cancel before the renewal date
• You may cancel your subscription at any time through your account settings or by contacting us
• Refunds, if applicable, will be handled in accordance with our refund policy or as required by applicable law

For mobile applications purchased through the Apple App Store or Google Play Store, the respective store's payment terms and refund policies apply.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOURISHING INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not warrant the accuracy or completeness of any information provided through our Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOURISHING INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

9. Indemnification

You agree to indemnify, defend, and hold harmless Nourishing Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) your User Content.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our Services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction and venue of such courts.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice. Your continued use of our Services after any changes indicates your acceptance of the modified Terms. If you do not agree to the modified Terms, you should discontinue use of our Services.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on our Services, constitute the entire agreement between you and Nourishing Inc. regarding your use of our Services and supersede any prior agreements between you and us relating to the same.
